📑Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the RivalRyze platform, including our websites, applications, Discord bot(s), APIs, and related services (collectively, the “Service”).
The Service is operated by ScrubHub Gaming Inc., a corporation organized under the laws of Quebec, Canada (“ScrubHub Gaming Inc.”, “RivalRyze”, “we”, “us”, or “our”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
If you are accepting these Terms on behalf of a company, guild, community, or other organization, you represent that you are authorized to bind that entity, and “you” includes both you and that entity.
2. Overview of the Service
RivalRyze is a skill-based competitive gaming platform that lets users:
Participate in and organize Contests (as defined below) tied to performance in supported video games;
Join or create Guilds and other communities;
Track in-game achievements, statistics, and progress; and
Earn and spend Gems, a virtual in-platform currency, on various digital and promotional rewards.
We are not a gambling service, casino, or money transmitter. Contests on RivalRyze are designed and operated as games of skill, and Gems cannot be withdrawn for cash or any other real-world currency.
2.1 No Affiliation with Game Publishers or Platforms
RivalRyze is an independent platform and is not affiliated with, sponsored by, endorsed by, or in any way officially connected with any video game publisher, platform holder, or storefront.
Without limiting the foregoing, RivalRyze has no affiliation with:
Valve Corporation, Steam, or Steamworks;
Sony Interactive Entertainment, PlayStation Network, or any Sony-related service;
Microsoft, Xbox, or Xbox Live;
Nintendo, Nintendo Switch Online; or
Any other game publisher, console manufacturer, storefront, or online service (collectively, “Game Platforms”).
All game titles, publisher names, platform names, trademarks, service marks, logos, and associated intellectual property are the property of their respective owners. Any use of such names or logos on the Service is for identification and descriptive purposes only and does not imply any endorsement, sponsorship, or official status.
3. Definitions
For purposes of these Terms:
Account – Your registered RivalRyze user account.
Contests – Any skill-based gaming competition offered on the Service, including without limitation tournaments, ladders, challenges, bounty missions, and other events that award points, Gems, or other rewards based on performance (“Contests”).
Guild – A team, server, or community space within RivalRyze, which may correspond to a Discord server or other community structure.
Gems – A virtual currency used solely within the Service for permitted purposes, such as Contest entry fees, prize pool boosts, tips, and Store purchases. Gems are not real money and cannot be redeemed for cash.
Prize Pool – The pool of prizes (e.g., Gems, digital items, gift cards, game keys, or other rewards) allocated to a specific Contest.
Contribution / Donation / Boost – A voluntary allocation of Gems by a user to increase a Prize Pool or to support another user or Guild. Contributions are non-refundable and do not create any ownership, partnership, or profit-sharing rights.
Store – The RivalRyze marketplace where users may spend Gems on eligible rewards such as digital items, cosmetics, gift cards, or game keys, subject to availability and eligibility.
Third-Party Game – Any video game or platform (e.g., Steam, PlayStation Network, Xbox, Dota 2, etc.) from which we retrieve stats/achievements or that is otherwise used in connection with the Service.
4. Eligibility
4.1 Minimum Age. You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction (a “Minor”), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.
4.2 Paid Features and Contests. To participate in any Contests that involve:
Gem entry fees,
The purchase of Gems with real money, or
Rewards that have real-world monetary value (such as gift cards),
you must:
Be at least 18 years old or the age of majority in your jurisdiction (whichever is higher); and
Not be located in any jurisdiction where such skill-based Contests or reward programs are prohibited by law.
We may restrict or disable certain features for Minors and for users in certain locations.
4.3 Legal Compliance. You are solely responsible for ensuring that your use of the Service, including participation in Contests and purchase or redemption of Gems, complies with all laws and regulations in your jurisdiction. We may restrict access to certain Contests, rewards, or features based on legal or compliance considerations.
4.4 No Prohibited Persons. You may not use the Service if:
You are subject to trade or economic sanctions,
You are barred from receiving services under the laws of Canada, the United States, or other applicable jurisdictions, or
We have previously suspended, closed, or banned your Account.
5. Accounts and Security
5.1 Registration. To use the Service, you must create an Account and provide accurate, current, and complete information. You agree to keep this information up to date.
5.2 Single Account. You may only maintain one Account in your own name. Creating or attempting to create multiple Accounts, whether to gain an unfair advantage, circumvent restrictions, or otherwise, is prohibited and may result in suspension or termination.
5.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. You must immediately notify us at [email protected] if you suspect unauthorized access to your Account.
5.4 Third-Party Accounts. The Service may require you to link third-party accounts (such as Steam, PSN, Xbox, or other game accounts) to track stats and verify Contest results. You are solely responsible for:
Maintaining those accounts in good standing; and
Ensuring that linking and use of those accounts with RivalRyze complies with the applicable third-party terms.
We are not responsible for any actions taken by third-party platforms, including suspensions, bans, or changes to their APIs or terms.
6. Skill-Based Nature of Contests
6.1 Games of Skill. RivalRyze Contests are intended to be games of skill, not games of chance. Winners are determined by objective performance metrics (such as kills, wins, rankings, or achievements) and by RivalRyze’s algorithms for evaluating player performance and the relative difficulty of in-game achievements.
6.2 Achievement-Based Scoring. In certain Contests, we attribute points based on the difficulty of achievements, stats, or other in-game events. Our scoring algorithms, difficulty models, and any related points systems are proprietary to RivalRyze and may be updated or adjusted at our discretion to improve fairness, balance, or integrity.
6.3 Fair Play. By using the Service and participating in Contests, you acknowledge and agree that:
Outcomes depend primarily on your skill, strategy, and performance, and
We may disqualify or penalize you if we determine that you have attempted to manipulate rankings, stats, or reporting systems.
6.4 No Gambling. RivalRyze does not offer, and you may not use the Service for, any form of illegal gambling, betting, wagering, or games of chance. You may not use automated systems, side-bets, or off-platform arrangements that convert RivalRyze Contests into gambling schemes.
7. Virtual Currency – Gems
7.1 Nature of Gems. Gems are a virtual currency that may be:
Purchased from RivalRyze using authorized payment methods;
Awarded as rewards for Contests or promotions; or
Granted through loyalty, referral, or subscription programs.
Gems are not legal tender, are not backed by any government or financial institution, and have no cash or monetary value outside the Service.
7.2 Limited License. When you obtain Gems, you receive a limited, personal, revocable, non-transferable, and non-sublicensable license to use Gems solely within the Service for permitted purposes. Gems remain the property of ScrubHub Gaming Inc. at all times.
7.3 No Redemption or Withdrawal. You cannot:
Redeem Gems for cash or any other currency;
Withdraw Gems to any wallet or external account; or
Sell or exchange Gems outside the Service.
Any language or behavior that treats Gems as cash, securities, or a deposit is incorrect and not binding on RivalRyze.
7.4 Transfers & Tipping. We may permit limited in-platform transfers of Gems, such as:
Tipping other users or Guilds;
Contributing Gems to a Contest Prize Pool; or
Other controlled transfer mechanisms.
All such transfers are at our discretion, may be limited or disabled at any time, and do not create any rights in or to RivalRyze, ScrubHub Gaming Inc., or any shared profits or revenues.
7.5 No Refunds. Except where required by applicable law:
Purchases of Gems are final and non-refundable; and
Spending Gems (including for Contest entry, boosts, or Store items) is irreversible once the transaction is confirmed.
7.6 Adjustments. We may, in our discretion, adjust or remove Gems from your Account:
To correct errors;
To address suspected fraud, chargebacks, or misuse; or
If your Account is suspended or terminated.
Where reasonable, we will attempt to notify you, but we are not obligated to do so in urgent or fraud-related situations.
8. Payments and Purchases
8.1 Payment Methods. You may purchase Gems or subscriptions using third-party payment processors (such as Stripe, PayPal, or others we support). Your use of those payment methods is subject to their respective terms and policies.
8.2 Billing Authorization. By providing a payment method, you represent that you are authorized to use that method and authorize us (and our payment processors) to charge that method for all amounts due, including applicable taxes and fees.
8.3 Pricing and Taxes. All prices displayed are subject to change at any time. You are responsible for any applicable taxes associated with your purchases and rewards, and you should consult your own tax advisor regarding the tax treatment of any prizes or rewards received.
8.4 Chargebacks and Disputes. If you initiate a chargeback or dispute with your payment provider, we may:
Suspend or terminate your Account;
Remove Gems or rewards obtained through the disputed transaction; and/or
Recover any costs or losses incurred.
9. Contests, Entry Fees, and Prize Pools
9.1 Contest Rules. Each Contest may have specific rules, eligibility criteria, scoring systems, start/end times, tie-breakers, and prize allocations (“Contest Rules”). By joining a Contest, you agree to the applicable Contest Rules in addition to these Terms.
9.2 Entry Fees. Some Contests may require a Gem entry fee. When you pay an entry fee:
The corresponding number of Gems will be deducted from your Account;
The entry fee is non-refundable, even if you fail to participate, are disqualified, or experience technical issues, except where we explicitly state otherwise or where required by law.
9.3 Prize Pools. Prize Pools may be funded by:
RivalRyze (house-funded or sponsored prizes);
Contest organizers allocating Gems they control;
User contributions or donations; or
A mix of the above.
Prize Pools and prize structures are disclosed in the Contest details and may be modified before a Contest starts. We reserve the right to cancel or modify a Contest before it begins; in that case, entry fees will be refunded in Gems where appropriate.
9.4 Contributions, Donations, and Boosts. You may have the option to:
Contribute Gems to increase a Prize Pool;
“Boost” a Contest with additional Gems; or
Tip or support another user or Guild.
By making such a Contribution:
You acknowledge that it is a voluntary donation of Gems, not a purchase of equity or a share of Contest revenues;
You do not acquire any ownership, partnership, or profit-sharing rights; and
Contributions are non-refundable, regardless of Contest outcome, disqualification, or changes.
9.5 Result Verification. Contest results are determined using:
Data retrieved from Third-Party Games and platforms;
Our own logging and tracking systems; and
Our skill-based scoring and anti-cheat logic.
We reserve the right to review, adjust, or override results in the interest of fairness, integrity, or error correction. Our determination of Contest results and winners is final and binding, absent manifest error.
10. Prizes and Rewards
10.1 Types of Rewards. Depending on the Contest and your use of the Store, you may receive:
Gems;
Digital goods or cosmetics on the Service;
Digital gift cards or vouchers (e.g., for game platforms or merchants);
Game keys or access codes;
Other promotional items as described in the Contest Rules or Store listing.
10.2 Store Purchases with Gems. You may use Gems to redeem eligible rewards in the Store:
Each Store item will specify the required number of Gems and any eligibility conditions;
Redemption is final once confirmed;
Some rewards may have limited quantities or time windows and may be substituted or discontinued at our discretion.
10.3 Delivery of Rewards. Rewards may be delivered:
Instantly within the Service (e.g., cosmetics, badges, Guild roles);
By displaying a digital code or link; or
By email or other communication channels.
For third-party rewards (such as gift cards or game keys), we may use third-party providers to fulfill delivery. You are responsible for:
Safely storing any codes or credentials we provide; and
Complying with any terms or conditions attached to those third-party rewards.
10.4 No Cash Redemption. Prizes and rewards (including gift cards and game keys) cannot be exchanged or redeemed for cash from RivalRyze. Any resale, trade, or transfer of rewards may be limited or prohibited by third-party terms, and is at your own risk.
10.5 Taxes and Reporting. You are solely responsible for any taxes or reporting obligations associated with prizes or rewards you receive. We may require you to provide additional information (such as tax forms or identification) before delivering higher-value rewards and may withhold or report rewards as required by law.
11. Guilds and Community Features
11.1 Guilds. The Service allows users to create and manage Guilds or similar communities. Guild leaders or admins may:
Configure settings and roles;
Organize Contests on behalf of the Guild;
Allocate Gems or rewards to members; and
Configure integrations with Discord or other platforms.
11.2 Guild Responsibility. Guild owners/admins are responsible for:
Ensuring Guild activities comply with these Terms and applicable laws;
Managing internal rules or expectations; and
Handling any disputes among Guild members.
We are not a party to disputes between Guild members or between Guilds and their members.
11.3 Bot and Discord Integration. If you connect the Service to a Discord server or other platform, you authorize RivalRyze to act within that server according to the permissions granted (e.g., posting messages, assigning roles). Server owners are responsible for ensuring they have the necessary rights to grant such access.
12. Fair Play, Prohibited Conduct, and Enforcement
12.1 Fair Play. You agree to compete honestly and fairly. Prohibited conduct includes, but is not limited to:
Cheating, hacking, exploiting bugs, or using unauthorized software;
Account sharing, smurfing, or using accounts that you do not own;
Manipulating stats, score reporting, or match outcomes;
Colluding with other users in a way that undermines fair competition.
12.2 Other Prohibited Conduct. You may not:
Use the Service for any unlawful purpose;
Harass, threaten, or abuse other users or our staff;
Impersonate any person or entity, or misrepresent your affiliation;
Attempt to interfere with or disrupt the Service, servers, or networks;
Use bots, scrapers, or automated means (other than our authorized APIs) to access the Service;
Reverse engineer, decompile, or attempt to derive source code from the Service.
12.3 Enforcement. We may, in our sole discretion and without prior notice:
Investigate any suspected violation of these Terms;
Disqualify you from a Contest;
Withhold or forfeit prizes or rewards;
Remove Gems or reverse transactions;
Restrict, suspend, or terminate your Account; and/or
Take any other action we deem appropriate to protect the integrity of the Service.
We are not obligated to monitor all user activity but reserve the right to do so.
13. User Content and Feedback
13.1 User Content. You may submit or display content through the Service (e.g., profile information, messages, Guild descriptions, images, or other materials) (“User Content”). You retain any rights you have in your User Content, but you grant RivalRyze a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content in connection with operating and promoting the Service.
13.2 Content Standards. You may not submit User Content that is illegal, infringing, defamatory, obscene, hateful, or otherwise objectionable, or that violates these Terms or any third-party rights. We may remove or modify User Content at any time for any reason.
13.3 Feedback. If you provide suggestions, feedback, or ideas about the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such Feedback in any manner without obligation or compensation to you.
14. Intellectual Property
The Service, including all software, algorithms, design, text, graphics, logos, trademarks, and other content, is owned by ScrubHub Gaming Inc. or our licensors and is protected by intellectual property laws. You receive no ownership rights by using the Service.
You may not copy, modify, distribute, or create derivative works from the Service or any content contained therein except as expressly permitted by these Terms or with our prior written consent.
15. Third-Party Services
The Service may rely on or link to Third-Party Games, platforms, and services (such as Steam, PlayStation Network, Xbox, Discord, Tremendous/Tango providers, payment processors, etc.). These third parties are not under our control, and we are not responsible for their content, actions, or policies.
Your use of third-party services is governed by their own terms and policies, not these Terms.
The Service may rely on, integrate with, or link to third-party products and services, including without limitation:
Game Platforms such as Steam, PlayStation Network, Xbox, Nintendo, Battle.net, Epic Games, Riot, and others;
Game publishers and developers;
Communication platforms such as Discord;
Payment processors and financial service providers;
Reward and gift card providers; and
Other third-party APIs, tools, or websites
(collectively, “Third-Party Services”).
RivalRyze has no control over, and assumes no responsibility for:
The availability, performance, rules, terms, or policies of any Third-Party Service;
Any actions, suspensions, bans, or account changes imposed by Third-Party Services;
Any changes to third-party APIs, data, or features that may impact the operation of the Service or any Contest; or
The content, accuracy, or security practices of Third-Party Services.
Your use of Third-Party Services (including Game Platforms) is governed solely by the terms and policies of those third parties, not these Terms. It is your responsibility to review and comply with such terms.
We do not guarantee that any particular game, Game Platform, or Third-Party Service will remain supported or compatible with the Service. We may modify or discontinue integrations with any Third-Party Service at any time, for any reason, without liability to you.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE (INCLUDING ALL CONTESTS, REWARDS, AND VIRTUAL CURRENCY) IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WITHOUT LIMITING THE FOREGOING, WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
CONTESTS WILL BE FREE FROM CHEATING OR MISCONDUCT BY OTHER USERS; OR
THIRD-PARTY SERVICES, APIs, OR PLATFORMS WILL REMAIN AVAILABLE OR FUNCTIONAL.
YOU USE THE SERVICE, PARTICIPATE IN CONTESTS, AND REDEEM REWARDS AT YOUR OWN RISK.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SCRUBHUB GAMING INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR
DAMAGES RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE,
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNTS YOU HAVE PAID TO US (IF ANY) IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR
(B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
18. Indemnification
You agree to defend, indemnify, and hold harmless ScrubHub Gaming Inc. and its affiliates, directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:
Your use of the Service;
Your participation in any Contest;
Your violation of these Terms or any applicable law; or
Your infringement or misappropriation of any third-party rights.
19. Suspension, Termination, and Account Closure
We may, at any time and for any reason, with or without notice:
Suspend your access to the Service;
Close or terminate your Account;
Revoke or adjust Gems or rewards; and/or
Cancel or modify Contests.
If your Account is terminated, you will lose access to your Account and any associated Gems, rewards, or progress, except as required by law. You may close your Account at any time by contacting us; however, any remaining Gems are not refundable or redeemable.
20. Changes to the Service or Terms
We may modify or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we do, we will post the updated Terms on our website and update the “Last updated” date above.
If the changes are material, we will make reasonable efforts to notify you (for example, by email or in-app notice). Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
21. Governing Law and Dispute Resolution
21.1 Governing Law. These Terms and any disputes arising out of or relating to them or the Service are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
21.2 Informal Resolution. Before initiating any formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally.
21.3 Arbitration / Courts. Subject to applicable law:
Any unresolved dispute may be submitted to binding arbitration or to the courts located in Montreal, Quebec, as permitted by law.
You and RivalRyze agree to resolve disputes on an individual basis only, and not as part of any class, consolidated, or representative proceeding, to the extent permitted by law.
Check with your legal counsel regarding any mandatory consumer protections or arbitration rules that may apply in specific jurisdictions.
22. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any applicable Contest Rules, constitute the entire agreement between you and ScrubHub Gaming Inc. regarding the Service.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
No Waiver. Our failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision.
Language. If these Terms are translated into other languages, the English version will control to the extent of any conflict, unless otherwise required by applicable law.
